Founded in 1992 and with 60 employees, Geosense provides geotechnical solutions to a wide spectrum of infrastructure, construction, and mining companies. The company’s products are relied upon in major infrastructure projects and for asset monitoring across a broad range of sectors globally.

Geosense specialises in the manufacture of vibrating wire and MEMS sensors, which are used to produce a wide range of instruments. It also manufactures automated data acquisition systems to complement its sensors and a range of inherently safe pneumatic pumps for use in the environmental sector

Indutrade consists of over 200 companies spanning 30 countries. It aims to deliver sustainable profitable growth by acquiring and developing companies.

The acquisition is Indutrade's seventh in 2024 and is expected to have a marginally positive impact on Indutrade's earnings per share.

Bo Annvik, President and CEO of Indutrade said: “Geosense stands as one of Europe’s leading manufacturers within its field and operates within a niche that is structurally growing. We are glad to welcome them to the Group and look forward to supporting their continued development.”

The Birketts team was led by Rachel Astill (Legal Director, Corporate), assisted by Dominic Cowie (Solicitor, Corporate), Lucy Wolfenden (Trainee Solicitor, Corporate), Stacy Aspden (Legal Director, Commercial Real Estate), Jonathan Insley (Senior Associate, Employment) and Robbie Watson (Senior Associate, Corporate Tax).

Birketts Senior Partner James Austin supervised the transaction, while the team worked closely with Mike Tillson, Ned Brown and colleagues at Grant Thornton.

On completing the transaction, Rachel Astill said: “We were really pleased to work with Geosense’s Founders, Martin Clegg and Tony Osborne, in the sale of the company to Indutrade. Martin and Tony have worked hard over the last 32 years to establish Geosense as a leading specialist geotechnical engineering business, and selling the company to Indutrade will shore it up for a bright future ahead.”
